New Law on Business Companies – Mandatory Alignment by 31 March 2026

 As of 1 January 2026, the new Law on Business Companies comes into force in Montenegro.

The law applies to all existing companies and introduces an obligation to align their articles of association with the new regulations.

If you are a company owner or director, this obligation applies directly to you.

WHAT DOES ALIGNMENT MEAN?

Alignment means that the existing articles of association must be adjusted to comply with the new law.

In practice, this includes:

• amending the articles of association,
• electronic submission of the amended documentation via the IRMS system,
• electronic signing of all documents.

WHO MUST PERFORM THE ALIGNMENT?

All business entities in Montenegro, regardless of:

• legal form (LLC, JSC, Sole Proprietor),
• whether the company is actively operating or dormant.

If the company is registered, the obligation exists.

IMPORTANT

Until the alignment is completed, no changes can be registered with the CRPS.

This means it is not possible to carry out:

• changes of directors,
• changes of address or business activity,
• changes in share capital,
• status changes.

In practice: the company is administratively blocked, even though it formally exists.

HOW IS THE PROCEDURE CARRIED OUT?

• the entire procedure is conducted exclusively online,
• no paper documentation,
• all documents must be electronically signed,
• documentation is submitted directly through the IRMS system.

DEADLINE FOR ALIGNMENT

The law prescribes a final deadline of 31 March 2026.
